Terms and Conditions of Membership

These Terms and Conditions of Membership (hereinafter referred to as the “Terms”) constitute a legally binding agreement between the Association of Healthcare Professionals Globally (hereinafter referred to as “AHPG”), a non-profit organization, and any individual (hereinafter referred to as “Member”) who is granted membership in accordance with the procedures outlined within these Terms. The AHPG is dedicated to the advancement of healthcare professionals through the sharing of intellectual properties for the purposes of uplifting academic standards. Acceptance of these Terms is a mandatory prerequisite for membership within the AHPG.

By applying for membership in the Association of Healthcare Professionals Globally, the applicant acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions of Membership.

  1. Membership Eligibility

1.1. Eligibility Criteria: Membership is open to individuals possessing a demonstrated interest in the healthcare field, including, but not limited to, doctors, nurses, allied healthcare professionals, healthcare educators, students, and other individuals demonstrating a legitimate professional interest in healthcare. All membership applications are subject to the approval of the AHPG’s governing body.

1.2. Commitment to Mission: Applicants must demonstrate a clear alignment with and commitment to the AHPG’s mission, objectives, and values. These core principles include promoting academic excellence, supporting professional development, and fostering a collaborative spirit within the healthcare community.

1.3. Verification of Qualifications: Applicants may be required to provide proof of professional qualifications. Such documentation may include, but is not limited to, diplomas, licenses, certifications, and letters of reference, as deemed necessary by the AHPG for the purposes of verifying eligibility.

  1. Application for Membership

2.1. Formal Application: Individuals seeking membership must complete the AHPG’s official digital membership application form in its entirety. This form shall solicit personal and professional information, and require the submission of all applicable membership fees and supporting documentation.

2.2. Supplemental Information: The AHPG reserves the right to request additional information or clarification from any applicant as it deems necessary to make a determination of membership eligibility.

2.3. Discretion in Acceptance: The AHPG maintains sole discretion in the acceptance or rejection of any membership application. The AHPG is not obligated to provide justification for the rejection of any application.

  1. Membership Obligations

3.1. Professional and Ethical Conduct: All Members are expected to uphold the highest standards of professionalism, integrity, and ethical behavior in all their professional activities and interactions, both within and outside of the context of the AHPG.

3.2. Active Participation: Members are strongly encouraged to actively contribute to the AHPG’s aims and objectives. This may include, but is not limited to, participation in AHPG activities, events, initiatives, and the sharing of knowledge and expertise.

3.3. Confidentiality: Members have a strict obligation to maintain the confidentiality and privacy of all proprietary, sensitive, or personally identifiable information acquired through their association with the AHPG. This obligation extends to information about the AHPG, its operations, and other Members.

3.4. Compliance: Members must comply with all applicable local, national, and international laws, regulations, and professional guidelines governing their healthcare practice, research, and any other relevant activities.

  1. Membership Fees

4.1. Annual Dues: Members are required to pay annual membership fees, the amount of which shall be determined and may be periodically reviewed and revised by the AHPG’s governing body. Members will be provided with clear notification of the amount and due date of such fees in advance

4.2. Non-Refundable: Membership fees are non-refundable except in exceptional circumstances determined at the sole discretion of the AHPG.

4.3. Suspension of Privileges: Failure to remit the annual membership fee within the specified period may result in the suspension of all membership privileges until such time as all outstanding fees are paid in full.

  1. Termination of Membership

5.1. Voluntary Termination: Members may terminate their membership at any time by providing written notice of their intent to the AHPG.

5.2. Involuntary Termination: The AHPG reserves the right to terminate a membership with immediate effect if a Member is found to be in breach of any of these Terms, engages in conduct that is deemed harmful to the AHPG or its objectives, or fails to pay the required annual membership fees.

5.3. Cessation of Benefits: Upon termination of membership, whether voluntary or involuntary, the former Member shall cease to have access to all Member benefits and privileges. Additionally, they must immediately return any and all AHPG property in their possession.

  1. Intellectual Property

6.1. Ownership: The AHPG retains exclusive ownership of all intellectual property rights inherent in any materials produced or disseminated by the AHPG. This includes, but is not limited to, publications, research findings, educational content, logos, trademarks, and any other materials bearing the AHPG’s name or insignia.

6.2. Limited Use License: Members are granted a limited, non-exclusive, non-transferable license to use AHPG materials for personal, non-commercial, professional development purposes only. Any reproduction, distribution, modification, or public display of AHPG materials beyond this scope requires express written permission from the AHPG.

6.3. Attribution and Respect for Intellectual Property of others: Members agree to respect the intellectual property rights of others when using AHPG materials. This includes, but is not limited to, providing appropriate attribution to the AHPG, creators, and any other sources as required, and refraining from infringing upon the copyrights, trademarks, or other intellectual property held by third parties.

  1. Limitation of Liability

7.1. Disclaimer: The AHPG shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages. This includes, but is not limited to, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) Member’s access to, use of, or inability to access or use the AHPG’s services; (ii) any conduct or content of any third party related to the AHPG’s services; (iii) any content obtained from the AHPG’s services; and (iv) unauthorized access, use, or alteration of Member’s transmissions or content. This disclaimer applies whether such damages are based on warranty, contract, tort (including negligence), or any other legal theory, regardless of whether the AHPG has been informed of the possibility of such damage.

7.2. Indemnification: Members agree to indemnify and hold harmless the AHPG, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or related to Member’s violation of these Terms or their use of the AHPG’s services in any manner that exceeds the scope of the licenses and permissions granted herein.

  1. Dispute Resolution

8.1. Negotiation: In the event of a dispute arising under these Terms or in connection with a Member’s membership in the AHPG, the parties agree to first attempt to resolve the dispute amicably through good-faith negotiation and mediation.

8.2. Binding Arbitration: If a dispute cannot be resolved through negotiation or mediation, such dispute shall be resolved exclusively by binding arbitration in accordance with the rules of the American Arbitration Association. The decision of the arbitrator(s) shall be final and binding upon the parties, and judgment may be entered upon the arbitration award in any court of competent jurisdiction.

8.3. Venue and Language: The arbitration shall take place within the United States, and all arbitration proceedings, filings, evidence, and judgments shall be conducted and made in the English language.

  1. Amendments to Terms

9.1. Right to Amend: The AHPG reserves the right to amend these Terms at any time to reflect changes in its operations, policies, or legal obligations. Members will be notified in writing of any significant changes to the Terms.

9.2. Tacit Acceptance: A Member’s continued membership following the implementation of any changes to the Terms shall be deemed as express acceptance of the amended Terms.

  1. Governing Law

10.1. Jurisdiction: These Terms, the relationship between Members and the AHPG, and all related matters shall be governed by and construed in accordance with the laws of the United States, without giving effect to any choice or conflict of law provision or rule. Any legal action or proceeding related to these Terms shall be brought exclusively in the federal or state courts located within the United States.
